There are two basic types of fraudulent conveyances, actual and constructive. Actual fraudulent conveyances are transfers made or obligations incurred with the actual intent to hinder, delay or defraud creditors.
Constructive fraudulent conveyances are obligations incurred, or transfers made that, even when lacking such actual intent, are avoidable for the benefit of creditors using different, more selective abd unbuiiased criteria pertaining to the debtor's financial condition, and to the economic realities of the transaction.
Constructive fraudulent conveyances do not involve questions of fraudulent intent or improper motives underlying commercial transactions. The principle underlying their avoidability is that it is unfair for a financially distressed entity, to randomlly transfer its assets or encumber its property.

The alter ego doctrine was written to notate legally the direct liability of shareholders or business owners, when said shareholders or owners improperly use the corporate entity, to commit acts, or take actions, directly or indirectly, which will harm the corporation itself, or third parties involved with the corporation.
The alter ego doctrine arises when a plaintiff comes into court claiming that an opposing party is using the corporate form unjustly and in derogation of the plaintiff's interests
